EXERCISE OF WARRANT SOSTRAVEL

Gallarate, 31 Maggio 2024 Sostravel.com S.p.A. (Euronext Growth Milan, ticker: SOS

and OTCQB New York, ticker: SOSAF), an Italian digital travel platform for bookings, itineraries, flight and airport information, car rentals, experiences, and travel tech services including Lost Luggage Concierge and Dr. Travel, available through the apps sostravel and flio as well as the platforms www.sostravel.comand www.amare.travel, ("SosTravel" or the "Company"), announces that during May 2024, a total of 53,880 SosTravel.com 2021-2024 Warrants (ISIN IT0005446718) (hereinafter "SosTravel Warrants") were exercised, resulting in the subscription (at a ratio of 1 new share per warrant exercised) of 53,880 ordinary shares of SosTravel.com ISIN IT0005338675 (the "Compendium Shares") at a price of Euro 1.20 for each Compendium Share subscribed, for a total value of Euro 64,656.

The Compendium Shares admitted to trading on the Euronext Growth Milan market have no nominal value, enjoy regular dividends, and possess the same characteristics as the ordinary shares of SosTravel.com in circulation as of the issuance date. Consequently, 21,728,568 SosTravel Warrants remain in circulation, which can be exercised continuously until December 16, 2024, as per the SosTravel.com 2021-2024 Warrant Regulations ("Warrant Regulations").

As a result of the above, the new share capital of SosTravel.com S.p.A. will be Euro 1,316,685.00, composed of 13,166,850 ordinary shares with no nominal value.

The certificate of the share capital change will be filed with the competent registry on June 3, 2024. For more information, please refer to the Warrant Regulations available in the Investor section of the website www.sostravel.com.
