Isopra Inc. made an offer to acquire 0.07% stake in Sophia Holdings Co.,Ltd. (JASDAQ:6942) for ¥2.5 billion on November 17, 2017. Under the terms of the transaction, Isopra Inc. offered to acquire 1.45 million shares at ¥1,700 per share. A corporate resolution for the deal is approved on November 17, 2017. The tender offer period will start from November 20, 2017 and will end on December 18, 2017. Leading Securities Co., Ltd. acted as tender offer agent. Kumagai, Tanaka & Tsuda acted as legal advisor to Sophia Holdings Co.,Ltd.
Isopra Inc. completed the acquisition of 0.07% stake in Sophia Holdings Co.,Ltd. (JASDAQ:6942) on December 18, 2017. Isopra Inc. received acceptances for 1.49 million shares, so proportional distribution is made. As per terms, Sentan Gijutsu Kenkyu Investment Partnership sold its 1.42 million shares.
Sophia Holdings Co Ltd is a holding company mainly engaged in the Internet-related business, communication business and dispensing pharmacies and the peripheral businesses, the provision of solution services such as system development, maintenance, and operation, as well as the operation of the dispensing pharmacy business. The Company operates in three business segments. The Internet-related segment is involved in the development of Internet systems, the operation and maintenance of data centers and the provision of application service provider (ASP) service for real estate agents.
