RESIGNATION OF INDEPENDENT NON-EXECUTIVE DIRECTOR

APPOINTMENT OF EXECUTIVE DIRECTOR AND VICE CHAIRMAN

APPOINTMENT OF INDEPENDENT NON-EXECUTIVE DIRECTOR AND MEMBER OF COMMITTEES

Shuanghua Holdings Limited announces that:

(a) Mr. Chen Ke has resigned as an independent non-executive director, the chairman of the remuneration committee, a member of the audit committee and a member of the nomination committee of the Company with effect from 19 July 2017.

(b) Ms. ZHEN Fei has been appointed as the Company's executive director and vice chairperson with effect from 19 July 2017.

(c) Ms. GUO Ying has been appointed as an independent non-executive director of the Company with effect from 19 July 2017. Upon her appointment as an independent non-executive director of the Company, Ms. Guo has also been appointed as the chairman of the remuneration committee and member of the audit and the nomination committees on the same day.

RESIGNATION OF INDEPENDENT NON-EXECUTIVE DIRECTOR

Shuanghua Holdings Limited(the "Company") wishes to announce that Mr. CHEN Ke ("Mr. Chen") has resigned as an independent non-executive director, the chairman of the remuneration committee, a member of the audit committee and a member of the nomination committee of the Company with effect from 19 July 2017 to devote more time on his other business commitments. Mr. Chen has confirmed that he has no disagreement with the board of directors of the Company (the "Board") and there is no matter relating to his resignation that needs to be brought to the attention of The Stock Exchange of Hong Kong Limited and the shareholders of the Company.

The Company would also like to express its sincere appreciation to Mr. Chen for his valuable contribution to the Company during his tenure of service as an independent non-executive director and as chairman and member of the above three committees of the Company.

APPOINTMENT OF EXECUTIVE DIRECTOR AND VICE CHAIRMAN

The Board is pleased to announce that Ms. ZHEN Fei ("Ms. Zheng") has been appointed as the Company's executive director and vice chairperson with effect from 19 July 2017.

Ms. Zheng, 27, received the Bachelor of Arts in Economics from the University of Chicago. She served as the investment manager of Fu Woo International Limited from 2012 to 2013, covering commodity trading and foreign investment businesses. Since 2014, she has been the Assistant to the chairman of the Company, responsible for foreign investments, project development, corporate strategy and related matters.

The Company has entered into a letter of appointment with Ms. Zheng for a fixed term of three years from 19 July 2017, with one-month notice for termination, at a proposed remuneration of RMB5,000 per month as the executive director where discretionary bonus may be granted as the vice chairman depending on the Company's performance and market conditions. Ms. Zheng is subject to retirement by rotation and re-election at the next general meeting of the Company in accordance with the Articles of Association of the Company.

Ms. Zheng has not held any other directorship in other public companies for the last three years.

Ms. Zheng is the daughter of the Company's chairman and executive director, Mr. ZHENG Ping and the non-executive director, Ms. KONG Xialing. Save as disclosed above, she does not have any other relationship with any other directors, senior management or substantial shareholders.

As at the date of this announcement, Ms. Zheng does not have any interests in any securities of the Company within the meaning of Part XV of the Securities and Futures Ordinance.

Save as disclosed above, there is no other information that needs to be disclosed pursuant to any requirements under Rules 13.51(2)(h) to (v) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited ("the Listing Rules), and the Company is not aware of any other matters that need to be brought to the attention of the shareholders in relation to Ms. Zheng's appointment.

APPOINTMENT OF INDEPENDENT NON-EXECUTIVE DIRECTOR AND MEMBER OF COMMITTEES

The Board is pleased to announce that Ms. GUO Ying ("Ms. Guo") has been appointed as an independent non-executive director of the Company with effect from 19 July 2017. Upon her appointment as an independent non-executive director of the Company, Ms. Guo has also been appointed as the chairman of the remuneration committee and member of the audit and the nomination committees on the same day.

Ms. Guo, 37, gained the bachelor degree in finance from Huibei University, received full time education in finance at Saint Mary's University since 2005 and was granted a master degree in finance in 2007. Ms. Guo was a trader of Haitong Securities Co. Limited from 2002 to 2003, a sales trader of BOC International (China) Limited from 2008 to 2013, a trader of China International Capital Corporation (H.K.) Limited from 2015 to 2016, and is the head of trading of Harmony Capital Group Limited since 2016.

Ms. Guo has entered into an appointment letter with the Company in relation to her appointment as an independent non-executive director for a term of one year commencing from 19 July 2017 unless terminated by at least one months' written notice served by either party at any time during the existing term. Ms. Guo is entitled to a monthly director's fee of RMB5,000. She is subject to retirement by rotation and re-election at the next general meeting of the Company in accordance with the Articles of Association of the Company.

Save as disclosed above, Ms. Guo has not held any directorship in other listed companies in Hong Kong in the last three years and does not have any relationship with any directors, senior management or substantial shareholders of the Company.

Ms. Guo is not interested or deemed to be interested in any Shares of the Company or its associated corporation within the meaning of Part XV of the Securities and Futures Ordinance.

Ms. Guo has confirmed that she meets the independence guidelines set out in Rule 3.13 of the Listing Rules.

Save as disclosed above, the Board is not aware of any other matters in relation to the appointment of Ms. Guo as an independent non-executive director that need to be brought to the attention of the holders of securities of the Company nor is there any information to be disclosed by the Company pursuant to any of the requirements under the Rules 13.51(2)(h) to (v) of the Listing Rules.
