DELAY IN DESPATCH OF CIRCULAR

IN RESPECT OF POSSIBLE VERY SUBSTANTIAL DISPOSAL

Reference is made to the announcement of Overseas Chinese Town (Asia) Holdings Limited (the "Company") dated 11 March 2021 in relation to the possible very substantial disposal of the Company relating to the proposed disposal of Tongcheng-Elong Shares on-market by City Legend, a wholly-owned subsidiary of the Company (the "Announcement"). Unless otherwise defined, capitalised terms used in this announcement shall have the same meanings as defined in the Announcement.

As set out in the Announcement, a circular (the "Circular") containing further details of the Disposal Mandate and such other information as required under the Listing Rules will be despatched to the Shareholders on or before 23 March 2021. As additional time is required for the Company to finalise certain information to be disclosed in the Circular, in particular, the working capital sufficiency statement, the Company will despatch the Circular on or before 23 April 2021.
