RECEIPT OF LETTER FROM SHAREHOLDERS CONVENING AN EXTRAORDINARY GENERAL MEETING ("EGM") PURSUANT TO SECTION 177 OF THE COMPANIES ACT (CAP. 50) OF SINGAPORE ("COMPANIES ACT")

The Board of Directors (the "Board") of Natural Cool Holdings Limited (the "Company" and together with its subsidiaries, the "Group") refers to the Company's previous announcement dated 10 January 2017 ("Special Notice Announcement") in relation to the receipt of special notice dated 9 January 2017 ("Special Notice") pursuant to Section 152(2) read with Section 185 of the Companies Act from Mr. Ong Mun Wah and Ms. Edi Ng (collectively, the "Relevant Members") of their intention to convene an EGM for the purposes of considering, inter alia, the removal of certain directors and appointment of new directors to the Board.

The Board wishes to announce that the Company had on 19 January 2017 received a letter dated the same date (the "Letter") from the Relevant Members, enclosing a notice of EGM dated 23 January 2017 issued by the Relevant Members, convening an EGM pursuant to Section 177 of the Companies Act ("Notice of EGM"), to be held at 2:30 p.m. on 8 February 2017 at Conference Room 2, TKP Conference Centre, 55 Market Street #03-01 Singapore 048941, for the purposes of considering the resolutions set out in the Notice of EGM.

Please refer to the Special Notice Announcement, and the Letter and Notice of EGM attached to this announcement, for more information on the proposed resolutions by the Relevant Members.

Please note that the Relevant Shareholders have stipulated in the Notice of EGM that all instruments appointing a proxy or proxies must be deposited at the office of Alternative Advisors LLP, the independent scrutineers who have been appointed by the Relevant Shareholders for the purposes of the EGM, at 1 Commonwealth Lane, #06-21, One Commonwealth, Singapore 149544, not less than 48 hours before the time appointed for the EGM.

Shareholders are advised to read this announcement, the Special Notice Announcement, and any further announcements by the Company carefully.
