Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On January 24, 2023, Minority Equality Opportunities Acquisition Inc. (the "Company") received a written notice (the "Notice") from the Nasdaq Listing Qualifications Department of The Nasdaq Stock Market ("Nasdaq") notifying the Company that for the last 30 consecutive business days, the Company's Market Value of Listed Securities ("MVLS") was below the minimum of $35 million required for continued listing on The Nasdaq Capital Market pursuant to Nasdaq Listing Rule 5550(b)(2).

In accordance with Nasdaq Listing Rule 5810(c)(3)(C), the Company has been provided a period of 180 calendar days, or until July 24, 2023, to regain compliance. The Notice states that the Nasdaq staff will provide written confirmation of compliance that the Company has achieved compliance with Rule 5550(b)(2) if at any time before July 24, 2023, the Company's MVLS closes at $35 million or more for a minimum of ten consecutive business days. The Notice is only a notification of deficiency, not of imminent delisting, and has no current effect on the listing or trading of the Company's securities on Nasdaq Capital Market.

If compliance is not achieved by July 24, 2023, the Notice states that the Company will receive written notification that its securities are subject to delisting. At that time, the Company may appeal the delisting determination to a Hearings Panel.

The Company anticipates that, as a result of the proposed business combination between the Company and Digerati Technologies, Inc., as contemplated by that certain Business Combination Agreement dated as of August 30, 2022 among the Company, Digerati Technologies, Inc. and MEOA Merger Sub, Inc., the combined company will be subject to meeting all of the applicable Nasdaq initial listing standards. In the interim, the Company will continue to monitor its MVLS and consider all other available options to regain compliance. However, there can be no assurance that the Company will be able to do so.
