Maps: acquisition of the remaining 7,94% of the share capital of Maps Healthcare, following the positive conclusion of the board of directors’ verifications

MAPS: ACQUISITION OF THE REMAINING 7.94% OF THE SHARE CAPITAL OF MAPS HEALTHCARE, FOLLOWING THE POSITIVE CONCLUSION OF THE BOARD OF DIRECTORS' VERIFICATIONS

MAPS S.p.A. (MAPS:IM; IT0005364333), an Innovative SME listed on AIM Italy and active in the digital transformation sector (the "Company"), following up on what was communicated on 11 July 2021 and 19 July 2021, with reference to the acquisition of the residual stake equal to 7.94% of the share capital of Maps Healthcare S.r.l. (respectively, the "Comprehensive Shareholding" and "MH") by Fabrizio Biotti and Mauro Max Di Maulo, and, in particular, to the contribution of the portion of the Comprehensive Shareholding itself, equal to 4.411% of the share capital of MH (the "Contribution Shareholding"), hereby informs that, the Board of Directors of the Company, meeting on 26th July, has carried out the verifications pursuant to art. 2343-quater of the Italian Civil Code and has ascertained that in the period subsequent to the reference date of the valuations prepared by the independent expert Dr. Roberto Medici (the "Expert"), i.e. 31 May 2021, no "significant new events" have occurred that would significantly change the value of the Contribution Shareholding.

The Board also verified the professionalism and independence requirements of the Expert who carried out the evaluations pursuant to Article 2343-ter, paragraph 2, letter b) of the Italian Civil Code and Article 2440 of the Italian Civil Code.

As a result of the contribution of the Contribution Participation and the above-specified verifications, 172,018 ordinary shares (the "Shares")will be issued, having the same ISIN Code as those outstanding.

The Company will issue the Shares following the filing of the declaration pursuant to Article 2343- quater of the Italian Civil Code.

Following the issue of the Shares, the Company's share capital will amount to Euro 1,265,214.46 comprising 10,687,741 ordinary shares, with no par value.
