KC Enviro Services Co., Ltd. agreed to acquire KC Hanmi Environment Co., Ltd. from KC Green Holdings Co., Ltd. (KOSE:A009440) on October 24, 2016. The exchange ratio is 1 to 1.5809577 shares. KC Enviro Services Co., Ltd. acquired 0.14 million shares of KC Hanmi Environment Co., Ltd. In a related transaction, KC Enviro Services Co., Ltd. agreed to acquire KC EcoEnergy Co., Ltd. from KC Hanmi Environment Co., Ltd. KC Enviro Services Co., Ltd. will issue total 0.27 million shares in both transaction. The general meeting of shareholders date is November 9, 2016. The period of submission of objections from creditors is from November 10, 2016 to December 12, 2016. During the year ended December 31, 2015, KC Hanmi Environment Co., Ltd. had total assets of KRW 15.78 billion, sales of KRW 10.23 billion and net profit of KRW 2.53 billion. Board of Directors of KC Green Holdings Co., Ltd. made a resolution in favor of the transaction on October 24, 2016. The merger data is December 28, 2016.
