Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 19, 2022, Diana S. Ferguson informed the Board of Directors (the "Board") of Invacare Corporation (the "Company") of her decision to resign as a director of the Company, effective immediately. Ms. Ferguson's decision to resign is due to her other personal and professional obligations and not due to any disagreement with the Company.

Following Ms. Ferguson's resignation, the Board intends to act promptly to reduce the size of the Board to eight members.
