(b) On January 5, 2022, Lisa M. DeFrancesco notified Intercept Pharmaceuticals, Inc. (the "Company") of her decision to resign from her position as the Company's Senior Vice President, Investor Relations & Corporate Affairs, effective January 28, 2022, in order to pursue other opportunities. Ms. DeFrancesco's resignation was not the result of any disagreement regarding any matter related to the Company's operations, policies or practices.
