Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal

          Year.

On January 26, 2021, the board of directors of First Keystone Corporation (the "Corporation") approved and adopted an amendment to its Amended and Restated Bylaws amending Article 10, Section 10.2, to remove the restriction that no person who is 75 years of age or older shall be elected a director of the Corporation.

The Amended and Restated Bylaws reflecting the amendments are attached hereto as Exhibit 3.1 and are incorporated in this Item 5.03 by reference.
