Fearless Films Ltd. agreed to acquire Paw4mance Pet Products International, Inc. in a reverse merger transaction on September 23, 2014. Paw4mance acquired 100% of the issued and outstanding shares of Fearless Films in exchange for 1 million shares of Paw4mance preferred stock and 30 million shares of common stock. In connection with the closing of the acquisition, Fearless Films became the wholly-owned subsidiary of Paw4formance and the former shareholders of Fearless Films obtained control of the consolidated entity. On September 23, 2014, in connection with the acquisition the Board of Directors and a majority of Paw4mance stockholders approved a one share for 1000 shares (1:1000) reverse split of the company's outstanding common stock. On September 26, 2014 Paw4formance changed its name to Fearless Films, Inc.
