Carlit Holdings Co., Ltd. (TSE:4275) agreed to acquire Sankyo Jitsugyo K.K. from an individual for approximately ¥350 million on January 25, 2016. A contract is expected to be concluded on January 25, 2016. Carlit Holdings Co., Ltd will acquire 600 shares of Sankyo Jitsugyo K.K. After the transaction, Sankyo Jitsugyo K.K. will operate as a subsidiary of Carlit Holdings Co., Ltd. Sankyo Jitsugyo K.K. reported total assets of ¥1.3 billion, net assets of ¥136 million, operating revenues of ¥4.98 billion, operating profit of ¥29 million and net profit of ¥14 million during the year ending June 30, 2015.
The executive-level changes in management will be decided in Sankyo Jitsugyo K.K.'s extraordinary shareholders' meeting and Board of Directors' meeting on February 2, 2016. Akira Nakayama will be appointed as Representative Director by Carlit Holdings, current Representative Director and President of Sankyo Jitsugyo, Seiichi Okada will be the Director and President of Sankyo Jitsugyo. Masayasu Konishi will be appointed as Director by Carlit Holdings and Eiji Roppongi will be appointed as auditor by Carlit Holdings. The Board of Carlit Holdings passed a resolution for the transaction on January 25, 2016. The transaction is expected to be completed on February 2, 2016.
