Reference: (a) Letter of BTS Group Holdings Public Company Limited No. BTS 2419/2017 dated February 10, 2017, Re: Entering into the concession contract for the MRT Pink Line Project (Khae Rai - Min Buri) and the concession contract for the MRT Yellow Line Project (Lat Phrao - Samrong) with the Mass Rapid Transit Authority of Thailand, the establishment of joint venture companies, and the convening of Extraordinary General Meeting of Shareholders No. 1/2017, and

(b) Letter of BTS Group Holdings Public Company Limited No. BTS 2468/2017 dated April 3, 2017, Re: Notification of the Resolutions of the Extraordinary General Meeting of Shareholders No. 1/2017

BTS Group Holdings Public Company Limited (the "Company") would like to inform you as follows:

1. Reference is made to Letter No. BTS 2419/2017 of the Company on February 10, 2017 which was disclosed through the Stock Exchange of Thailand regarding the establishment of the joint venture companies under the BSR Joint Venture Agreement to enter into the concession contract for the MRT Pink Line Project (Khae Rai - Min Buri), including the extension of the MRT Pink Line Project and the concession contract for the MRT Yellow Line Project (Lat Phrao - Samrong), including the extension of the MRT Yellow Line Project with the Mass Rapid Transit Authority of Thailand (the "MRTA")

   On June 12, 2017, the Company, Sino-Thai Engineering & Construction Public Company Limited ("STEC") and Ratchaburi Electricity Generating Holding Public Company Limited ("RATCH") jointly established two joint venture companies named "Northern Bangkok Monorail Company Limited" and "Eastern Bangkok Monorail Company Limited", in which the Company, STEC, and RATCH hold 75 percent, 15 percent, and 10 percent of shares in each company, respectively. In this regard, these two companies are subsidiaries of the Company.

2. Reference is made to the Extraordinary General Meeting of Shareholders of the Company No. 1/2017 on April 3, 2017 which resolved to approve the entering into the concession contract for the MRT Pink Line Project, including the extension of the MRT Pink Line Project (the "Acquisition of the MRT Pink Line Project Concession") and the concession contract for the MRT Yellow Line Project, including the extension of the MRT Yellow Line Project (the "Acquisition of the MRT Yellow Line Project Concession") by the joint venture companies to be established under the BSR Joint Venture Agreement, as well as other matters in relation thereto, with the MRTA; and the delegation of power to the Executive Committee, or any persons designated by the Executive Committee, to

negotiate the concession contract for the MRT Pink Line Project, including the extension of the MRT Pink Line Project, and the concession contract for the MRT Yellow Line Project, including the extension of the MRT Yellow Line Project, as well as to carry out any other acts necessary for or in relation thereto on behalf of the joint venture companies in order to successfully complete the Acquisition of the MRT Pink Line Project Concession and the Acquisition of the MRT Yellow Line Project Concession.

Today (June 16, 2017), Northern Bangkok Monorail Company Limited has entered into the concession contract for the MRT Pink Line Project, including the provisions regarding the extension of the MRT Pink Line Project, and Eastern Bangkok Monorail Company Limited has entered into the concession contract for the MRT Yellow Line Project, including the provisions regarding the extension of the MRT Yellow Line Project with the MRTA. In order to proceed in accordance with the provisions regarding the extension of the MRT Pink Line Project and the extension of the MRT Yellow Line Project, the MRTA and Northern Bangkok Monorail Company Limited and Eastern Bangkok Monorail Company Limited (as the case may be) agree to fully comply with the process and procedures as required by the relevant laws.
