The Estate of William W. Sherertz Rejects Request by Barrett Business Services

On January 30, 2012, The Estate of William W. Sherertz announced that Barrett Business Services Inc through its attorney on January 13, 2012 and January 20, 2012, informed that it would not call a special meeting of the stockholders on February 21, 2012 as requested by The Estate of William W. Sherertz on the grounds that the request was legally insufficient under Maryland law. Further, The Estate of William W. Sherertz stated that on January 19, 2012, Kimberly J. Jacobsen Sherertz caused Cede & Co the nominee of the Depository Trust Company, to file a notice with Barrett Business Services on January 19, 2012, of her intent to bring nominations of persons for election to the board of directors of the Company at its 2012 annual meeting of stockholders and that Barrett Business Services has informed Kimberly J. Jacobsen Sherertz on January 19, 2012 that it had received the above referenced notice.
Barrett Business Services, Inc. is a provider of business management solutions for small and mid-sized companies. It has developed a management platform that integrates a knowledge-based approach from the management consulting industry with tools from the human resource outsourcing industry. It operates a decentralized delivery model using operationally focused business teams, typically located approximately 50 miles from its client companies. It offers two services: professional employer services (PEO) and staffing. Under PEO, it establishes to a client services agreement to establish a co-employment relationship with each client company, assuming responsibility for payroll, payroll taxes, workers compensation and benefits coverage (if elected) and certain other administrative functions for the clients existing workforce.
