Notice Pursuant to Section 708A(5)(e) of the Corporations Act - shares issued under placement

Aurelia Metals Limited (ABN 37 108 476 384) (the Company) has issued 281,199,687 million fully paid ordinary shares (Shares) at a price of $0.21 per share in the Company, being the completion of the second tranche of the Placement outlined in the Company's announcement and investor presentation dated 21 November 2017, following shareholder approval received at the General Meeting held on 5 January 2018.

The Company gives notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) (the Corporations Act) that:

• 1. the Shares were issued without disclosure to investors under Part 6D.2 of the Corporations Act;

• 2. as at the date of this notice, the Company has complied with:

  • a) the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

  • b) section 674 of the Corporations Act; and

• 3. as at the date of this notice, there is no information that is 'excluded information' within the meaning of sections 708A(7) and (8) of the Corporations Act.
