Notice Regarding Partial Change in the Articles of Incorporation

Asia Alliance Holdings Co., Ltd. (hereafter "the Company") has resolved at the meeting of the Board of Directors held today to propose, a "Partial change in the Articles of Incorporation" as detailed below at the Extraordinary General Meeting ("EGM") to be held on February 17, 2012.
This is a subject to the approval of the proposal "Notice Regarding Partial Change in Article
of Incorporation" by the Company's EGM.
1?Reason for the change
1) To be prepared for the future business diversification, an addition shall be made to Article 2 (Purpose),
2) To be able to allow implementation of flexibly capital policy under the changing business environment, and an addition shall be made to Article 6(Total Number of Issued Shares), and
3) To meet the business needs and to build up more strength management system, an addition shall be made to Article 17 (Number of Directors)
