PRESS RELEASE from Adler Modemärkte AG

ADLER closes out 2012 with strong end-of-the-season rally

ADLER bucks overall industry trend: Significant sales and EBITDA growth Company releases provisional figures Haibach (near Aschaffenburg), 31 January 2013. Bolstered by a strong end-of-the- season rally in the fourth quarter, Adler Modemärkte AG bucked the overall industry trend in financial year 2012 and maintained a high level of sales growth with 6%. Posting consolidated revenue of around €505 million (previous year: €476.6 million), the Company again exceeded the 500 million euro mark. Earnings before interest, taxes, depreciation and amortisation (EBITDA) increased even more significantly, rising by approximately 14% from €30.7 million to around €35 million. ADLER announced these provisional figures in anticipation of its earnings for 2012. The financial statements for the financial year ended will be presented on 21 March.

"Traditionally, the fourth quarter is the most important sales season for ADLER in terms of income. Thanks to our compelling product range and a strong finish by the entire sales organisation, we generated exceptionally solid earnings in 2012. This rings particularly true when considering the overall industry trend," said the Chairman of ADLER's Executive Board, Lothar Schäfer. According to estimates by "TextilWirtschaft", the industry's leading trade journal, customer frequency on sales floors and sales both declined by 2% during the previous year.
ADLER's sales growth was predominantly attributable to its newly opened stores. In 2012, the Company launched 16 new stores, 13 of which in Germany, two in Austria and its first store in Switzerland. At the same time, the Company closed nine stores with weak earnings figures. The growth of sales floor space was considerably more expansive in 2011, when 29 new stores, primarily driven by the Wehmeyer acquisition, were added. "We decided to rein in our expansion somewhat and increase our focus on measures designed to boost earnings in the middle of 2012 in order to consolidate our strong past growth and to counter the
economic slowdown in Europe," said Schäfer. "In order to further strengthen earnings we will

continue to maintain this course heading in this year as well." In 2013, ADLER plans to open ten additional stores primarily in Germany.
Furthermore, during this year the Company plans to launch the use of RFID technology across its entire sales network. The wireless RFID tags are integrated into ADLER's stock management system, allowing the Company to more effectively monitor the inventories of its NOS merchandise, ADLER's main sales driver, and maintain an ongoing stock inventory. Based on results of a long-term RFID pilot project encompassing most recently seven stores across two countries, ADLER expects to improve efficiency significantly and to generate additional sales potential.
Adler Modemärkte AG will announce all of its financial figures at its presentation of the 2012 annual financial statements on 21 March. ADLER's Executive Board will outline the results at a press conference on 21 March in Munich at the Haus der Bayerischen Wirtschaft from
10:00 a.m. to 11:00 a.m.
