VOLUNTARY ANNOUNCEMENT -

PROPOSED ESTABLISHMENT OF A BOARDING SCHOOL IN GUANGDONG-HONG KONG-MACAO GREATER BAY AREA

The board of directors (the ''Board'') of Wisdom Education International Holdings Company Limited (the ''Company'', together with its subsidiaries, the ''Group'') wishes to update the shareholders of the Company and potential investors on the recent development in relation to the business of the Group.

To tie in with the development in Guangdong-Hong Kong-Macao Greater Bay Area promoted by the Government of the People's Republic of China (''China''), the Group has entered into a cooperation agreement with the People's Government of Kaiping, Jiangmen City () (the ''Kaiping Government of Jiangmen City'') in relation to, among other things, the establishment, operation and management of a boarding school in Kaiping, Jiangmen City. The establishment of the proposed boarding school is a key construction project of the Kaiping Government of Jiangmen City.

Pursuant to the cooperation agreement, the parties agree, among other things, that:

  • (i) the Group shall be responsible for the construction of the proposed boarding school, which is expected to have, among other things, primary, middle and high school sections with a total target capacity of approximately 7,500 students;

  • (ii) Kaiping Government of Jiangmen City shall provide a parcel of land with a total site area of approximately 200 mu () (equivalent to approximately 133,000 square metres) with a lease term of 50 years to the Group by phases for educational purposes;

  • (iii) Kaiping Government of Jiangmen City shall provide certain preferential treatments to the Group in accordance with the relevant policies for supporting private education in China; and

  • (iv) Kaiping Government of Jiangmen City shall provide assistance to the Group, among other things, in obtaining necessary government approvals for the establishment of the proposed school, recruiting teachers and students.

The Board is pleased to announce that the Group has recently been confirmed by the Kaiping Government of Jiangmen City regarding the allocation of land for the establishment of the proposed boarding school.

The Group believes that the establishment of the proposed boarding school in Kaiping, Jiangmen City, near the exit of the Hong Kong-Zhuhai-Macao Bridge, will further strengthen the Group's school network in Guandong province, China, and will also benefit from the economic development of Guandong-Hong Kong-Macao Greater Bay Area and the completion of Hong Kong-Zhuhai-Macao Bridge.

As the establishment of the proposed boarding school is subject to certain government approvals, it may or may not proceed as contemplated or at all. Accordingly, shareholders of the Company and potential investors are advised to exercise caution when trading in the shares of the Company.
