COMPLETION OF PROPOSED DISPOSAL OF SMJ FURNISHINGS (S) PTE LTD

The Board of Directors (the "Board") of SMJ International Holdings Ltd. (the "Company" and together with its subsidiaries, the "Group") refers to the following:

• 1. The Company's announcement dated 20 October 2017 and 29 November 2017 in relation to, amongst others, the Proposed Disposal of SMJ Furnishings (S) Pte Ltd (the "Proposed Disposal");

• 2. The circular dated 8 December 2017 issued by the Company to shareholders of the Company (the "Shareholders") containing further information on, amongst others, the Proposed Disposal; and

• 3. The announcement dated 26 December 2017 in relation to the approval of the Proposed Disposal by the Shareholders at the extraordinary general meeting of the Company held on 26 December 2017.

The Board wishes to announce that apart from the condition precedent relating to the execution of a new service agreement with Peng Weile which has been waived as announced on 29 November 2017, all the other conditions precedent of the sale and purchase agreement dated 20 October 2017 have been satisfied and accordingly, the completion of the Proposed Disposal has taken place on 16 January 2018. Following the completion, SMJ Furnishings (S) Pte Ltd ceased to be a subsidiary of the Company.
