Appointment of auditor of separate and consolidated financial statements of PGNiG

The Management Board of Polskie Górnictwo Naftowe i Gazownictwo SA ("PGNiG", the "Issuer", the "Company") reports that on January 23rd 2013 the Company's Supervisory Board appointed a consortium comprising:
1/ PKF Audyt Sp. z o.o., registered office at ul. Orzycka 6/1B, Warsaw, Poland;
2/ PKF Tax Sp. z o.o., registered office at ul. Orzycka 6/1B, Warsaw, Poland; and
3/ PKF Consult Sp. z o.o., registered office at ul. Orzycka 6/1B, Warsaw, Poland
(the "PKF Consortium"),
as the auditor of the Issuer's separate and consolidated financial statements for the financial years 2013, 2014 and 2015.
PKF Audyt Sp. z o.o., PKF Tax Sp. z o.o. and PKF Consult Sp. z o.o. are entered in the list of entities qualified to audit financial statements maintained by the National Board of Qualified Auditors:
- PKF Audyt Sp. z o.o. - under No. 548,
- PKF Tax Sp. z o.o. - under No. 3414,
- PKF Consult Sp. z o.o. - under No. 477.
The PKF Consortium did not audit PGNiG's separate or consolidated financial statements in previous financial years.
The PKF Consortium was appointed under Art. 66.4 of the Accountancy Act of
September 29th 1994 (Dz.U. of 2009, No. 152, item 1223), in conjunction with Art.
134.1 of the Public Procurement Law of January 29th 2004 (Dz.U. of 2007, No. 223, item 1655, as amended, the "Public Procurement Law"), by way of a limited tender. The tender notice was filed with the Publications Office of the European Union on October 9th 2012 and subsequently published in the Official Journal of the European Union: 2012/S 198 - 326227. The PKF Consortium was appointed in compliance with the law, the Company's internal regulations and standards of business conduct.

A relevant contract with the PKF Consortium will be executed on the terms and within the time limit prescribed in the Public Procurement Law. The contract will cover the audit of separate financial statements of PGNiG and consolidated financial statements of the PGNiG Group, starting from the financial statements for H1 2013, with the last financial statements to be audited under the agreement being the financial statements for the year ended December 31st 2015. If the award of contract is challenged within the statutory time limit by any of the other companies participating in the tender procedure, the Company will report of the fact in a separate report.
