The Board of Directors wishes to announce that
Konsortium Jaya Sdn Bhd ("KJSB"), a wholly-
owned subsidiary of the Company, had on 18
January 2012, entered into a Teaming Agreement
("Agreement") with TMS Software Sdn Bhd
("TMSS"), as both parties wish to work
together, with KJSB as the intended main
contractor, while TMSS as the intended
subcontractor to KJSB for the submission of a
proposal to the Government of Malaysia,
represented by the Ministry of Education
("Customer") in relation to the "Perluasan
Sistem Pengurusan Sekolah" to all schools
nationwide ("Project") for their respective
scope of work, with TMSS's portion. If such
Project is awarded by the Customer to KJSB, the
both parties agree for:-
(a) KJSB to enter into an agreement with the
Customer ("Prime Contract"); and
(b) TMSS to enter into a subcontract agreement
with KJSB ("Subcontract"),
for the implementation of the Project, with
both parties' respective responsibilities as
described in the Agreement.
Save for En. Richard George Azlan bin Abas who
has an indirect interest in TMSS through shares
held by his wife in the said company which is
less than 5%, none of the Directors and/or the
substantial shareholders of the Company or any
persons connected to them have any interest,
direct or indirect in the Agreement.
En. Richard George Azlan bin Abas has declared
his indirect interest and abstained from any
deliberation and voting on the matter. He is
not a signatory to the Agreement.
Should there be any development pertaining
thereto, the Company will make the necessary
announcement accordingly.
