Pursuant to the terms of the 10% Acquisition Agreement dated 11 February 2011, the 10% Acquisition

Agreement lapsed and terminated on 31 December 2011. So the consideration shares (a maximum of

165,970,300 shares) to be issued and allotted by the Company under the 10% Acquisition Agreement being
