NOTICE TO THE MARKET

Belo Horizonte, January 7, 2019 - MRV ENGENHARIA E PARTICIPAÇÕES S.A. ("Companyor MRV"), pursuant to article 157, paragraph 4, of Law No. 6,404, dated as of December 15, 1976, as amended and the Regulation CVM No. 358/02, in addition to the material facts disclosed by the Company on September 3, 4, and 16, and October 1, and 22, November 21 and December 26, 2019, hereby informs the following to its shareholders and the market in general.

On January 6th, 2020, the Company received a letter from Atmos Capital Gestão de Recursos Ltda. (CNPJ 10.957.035/0001-77) (hereinafter defined as "Atmos") stating that, as managers of funds and investment vehicles holding shares issued by the Company representing 6.95% of its capital stock, Atmos

1. formalizes its support for the new proposal of the Company for the investment in AHS Residential, LLC ("AHS Residential"), as disclosed in the Material Fact dated as of December 26, 2019, which includes the merger of the totality of the indirect equity stake held by Mr. Rubens Menin in AHS Residential into the Company, adequately addressing the issues of corporate governance and potential conflicts of interest identified with respect to the preliminary proposal; and (ii) will take all necessary measures to ensure that the funds and investment vehicles under its management vote in favor of the approval of the "Protocol and Justification of the Merger of MDI into MRV" dated as of December 26, 2019.
