(Stock Code: 00039) CLARIFICATION ANNOUNCEMENT

Reference is made to the announcement of China Beidahuang Industry Group Holdings Limited (the "Company") dated 13 January 2017 (the "Announcement") in relation to the Acquisition of 100% equity interest in the Target Company pursuant to the Equity Transfer Agreement. Capitalized terms used herein shall have the same meanings as those defined in the Announcement unless the context otherwise requires.

The Company wishes to clarify that there is an inadvertent translation error in paragraphs

(b) and (c) under the sub-section headed "Issue Price" in the Chinese version of the Announcement. The words "折讓" in the said two paragraphs are incorrect and instead, should read as "溢價".

Except as stated above, all the information in the Chinese version of the Announcement remains unchanged.
