Shionogi & Co., Ltd. (TSE:4507) agreed to acquire 54.84% stake in Torii Pharmaceutical Co., Ltd. (TSE:4551) from Japan Tobacco Inc. (TSE:2914) for ¥70.3 billion on May 7, 2025. A cash consideration valued at ¥4568 per share will be paid for 15,398,800 shares by Shionogi & Co., Ltd. In other transaction Shionogi will launch an ¥80.7 billion tender offer for the company's minority shareholders at 6,350 yen per share.
The transaction is expected to close in September 2025.
