Barclays PLC (LSE:BARC) proposed to acquire TSB Banking Group plc from Banco de Sabadell, S.A. (BME:SAB) in a transaction valued at ?2.8 billion on July 1, 2025. In a separate transaction, Banco Santander, S.A. proposed to acquire TSB Banking Group plc from Banco de Sabadell, S.A. The sale of would allow Banco de Sabadell, S.A. to improve shareholder remuneration in the midst of the battle to thwart the takeover bid and also allocate part of the resources to target its growth, with a focus more on Spain.
The transaction is subject to approval of merger agreement by target board of directors and shareholders of Banco de Sabadell, S.A.
