On December 18, 2025, Ms. Abbie Smith informed the Board of Directors of Ryder System, Inc. of her decision to retire and not to stand for reelection at the Company?s 2026 Annual Meeting of Shareholders. Ms. Smith?s retirement is not due to any disagreement with the Company on any matter relating to the Company?s operations, policies, or practices. In addition, on December 18, 2025, the Board appointed Ms. Tammy Romo, 63, as a director to the Board, effective as of January 5, 2026.
The Board determined that Ms. Romo qualified as independent under their independence standards set forth in the New York Stock Exchange corporate governance listing standards.
