Kingdom Holding Company (SASE:4280) entered into share sale and purchase agreement to acquire 70% stake in Al Hilal Club Company from Public Investment Fund for SAR 840 million on April 16, 2026. A cash consideration of SAR 840 million will be paid by Kingdom Holding Company. As part of consideration, SAR 840 million is paid towards common equity of Al Hilal Club Company. Kingdom Holding Company intends to fund the value of the Transaction through its internal resources.
For the period ending June 30, 2025, Al Hilal Club Company reported total revenue of SAR 842 million. The transaction is subject to Obtaining the required approvals or no-objection statements from, and submitting required notifications to, the relevant regulatory authorities, including the General Authority for Competition and Satisfaction of other conditions and corporate internal approvals in accordance with the share sale and purchase agreement.
