The following is a Company Announcement by HSBC Bank Malta p.l.c. pursuant to the Capital Markets Rules issued by the Malta Financial Service Authority.

HSBC Bank Malta p.l.c. (the 'Bank') held its Annual General Meeting ('AGM') earlier today the 29 April 2026. With reference to Company Announcement HSBC475 published on 15 April 2026, all the Ordinary Resolutions, Ordinary Resolutions Special Business and Extraordinary Resolution were approved.

Board Composition:

In terms of Article 7(1) of the Bank's Memorandum, Manfred Galdes (Chairman), Geoffrey Fichte, Louis Cassar Pullicino, Charlotte Cilia, Malcolm Miller, and Yvonne Steyn-Adams, were appointed as Directors by the majority shareholder.

Three individuals were nominated for election as Directors by the minority shareholders. Alexiei Dingli, Anthony Doublet and Elvia George were automatically elected as Directors in terms of Article 77(4) of the bank's Articles of Association.

With the exception of Geoffrey Fichte and Charlotte Cilia who are Executive Directors, the remaining Directors are all Non-Executive Directors.
