CREAL Inc announced a private placement and entered into investment agreements to issue 5,756,200 shares at a price of ¥747 for aggregate gross proceeds of ¥4,299,881,400 on December 5, 2025. The transaction has been approved by the board of directors and is expected to close on December 23, 2025. Issuance expenses related to the transaction amounts to ¥20,767,000 resulting in net proceeds of ¥4,279,114,400.
The transaction will include participation from SBI Holdings, Inc for 1,606,400 shares amounting to ¥1,199,980,800, JICVGI Opportunity Fund No. 1 Investment Limited Partnership for 2,677,400 shares amounting to ¥2,000,017,800, Chuo Nippon Land and Building Co., Ltd for 669,300 shares amounting to ¥499,967,100, Kiraboshi Capital Tokyo Sparkle Investment Limited Partnership for 669,300 shares amounting to ¥499,967,100 and Japan Airlines Co., Ltd for 133,800 shares amounting to ¥98,610,600.

The Company is involved in the regular and irregular air transportation business for international and domestic passengers and cargo, aircraft use business, as well as other incidental or related businesses, such as the provision of airport passenger services, ground handling, maintenance, freight, passenger sales and airport peripheral business. The Company is also involved in the travel planning and sales business which includes planning sales, baggage delivery, system development and operation, provision of ticketing system for travel industry, as well as credit card business for travels by air transport.
