Amphenol Corporation (NYSE:APH) entered into an agreement to acquire TPC Holdings, LLC from Audax Management Company, LLC and others for approximately $1 billion on August 18, 2025. The consideration will be in cash, subject to customary post-closing adjustments. Amphenol will finance the transaction with cash on hand.
The transaction is subject to certain regulatory approvals and other customary closing conditions. The transaction is expected to close in the fourth quarter of 2025. The acquisition will be included in the Harsh Environment Solutions segment and is expected to be accretive to Amphenol?s earnings per share in the first year post closing.
